General
Welcome to the terms of use of Hubo One (as defined below) ("Terms of Use") entered into between Hubo One and you, (hereinafter referred to as "you" or "your" or "user(s)"). By accessing our website www.hubo.one ("Website") and/or our app 'Hubo One' ("App"), Website and App, together shall be referred to as "Platform", you agree to be bound by the provisions of these Terms of Use.
Please read these Terms of Use, along with the Privacy Policy and all other rules and policies made available or published on the Platform, as they will govern your use of the Platform. By using or visiting the Platform or any Hubo One software, data feeds, and service provided to you on, from, or through the Platform, you signify your agreement to (i) these "Terms of Use", (ii) the Privacy Policy and any other terms that are updated by us, from time to time. If you do not agree to any of these terms, please refrain from using the Platform.
Unless otherwise defined in these Terms of Use, the terms used herein which are not defined shall have the same meaning ascribed to it in our Privacy Policy, which is accessible at www.hubo.one
About
The domain name, Website and the App are owned, registered and operated by Elohimed Care Private Limited, a company registered under the Companies Act, 2013 and having its registered office at SY 13/2, Location No 8, WeWork Cinnabar Hills, Embassy Golflinks Business Park, Domlur, Bangalore - 560071, (hereinafter referred to as "Hubo One" or "us" or "we" or "our" or the "Company").
The Platform
These Terms of Use apply to all users of the Platform. The Platform includes all aspects of the Website and App but is not limited to products, software and service offered via the Platform, from time to time.
The Platform may include or contain links to any third-party websites that may or may not be owned or controlled by Hubo One. Hubo One has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. In addition, Hubo One will not and cannot censor or edit the content of any third-party site. By using the Platform, you expressly relieve Hubo One from any and all liability arising from your use of any third-party website or services. However, we recommend that before you use any third-party services or websites you read and understand the terms and conditions and privacy policy of each such website that you visit.
Subject to these Terms of Use, the Privacy Policy and all other rules and policies made available or published elsewhere by Hubo One, we hereby grant you a non-exclusive, non-transferable, non-sublicensable, limited license to use the Platform in accordance with these Terms of Use.
You hereby agree and acknowledge that Hubo One shall have the right at any time to change or discontinue any aspect or feature of the Platform, hours of availability and equipment needed for access or use. Further, Hubo One may discontinue disseminating any portion of information or category of information that may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. Hubo One reserves the right to refuse access to the Platform, terminate user accounts, remove or edit contents without any notice to you.
User Account
In order to access some of the features of the Platform, you will have to create your account with Hubo One. You agree and confirm that you will not use another user's account nor provide access to your account to any third party. When creating your account, you confirm that the information so provided is accurate and complete. Further, you agree that you are solely responsible for the activities that occur on your account, and you shall keep your account password secure and not share the same with anyone. You shall notify Hubo One immediately of any breach of security or unauthorized use of your account. At no point in time will Hubo One, or its employees, directors, agents, representatives be liable for any losses caused by any unauthorized use of your account, you shall solely be liable for the losses caused to Hubo One or others due to such unauthorized use if any.
Delete User Account
You have the right to delete your account at any time. To do so, navigate to your user profile, select the "Delete Account" option, and confirm your decision when prompted.
Upon account deletion, Hubo One will retain your data for a period of up to 7 days. After this 7-day period, your data will be permanently deleted from our database. This retention period allows for potential account recovery should you change your mind.
If you wish to recover your account during this 7-day period, please contact us at support@hubo.one with your request.
Payment, Fees and Taxes
The User agrees to pay all membership fees applicable to User’s use of Services and the User shall not circumvent the fee structure. The fee is dependent on the Plan that the User purchases.
Each User is solely responsible for payment of all taxes, legal compliances, statutory registrations and reporting. Hubo One is in no way responsible for any of the taxes except for its own income tax and any indirect taxes collected by Hubo One as specified on your invoice.
The fees must be paid online through the applicable facility made on the Website, as available from time to time. Third parties support and services are required to process online fee payment. Hubo One is not responsible for any loss or damage caused to User during this process as these payment service providers are beyond the control of Hubo One.
Hubo One reserves the right to modify the fee structure by updating it on the Platform which shall be considered as a valid and agreed communication.
In order to process the payments, Hubo One and/or third-party payment gateways may require details of the User's bank account, credit card number, etc. Hubo One does not store these details and these details may be stored by the third-party payment gateways.
Access, Permissions & Restrictions
Hubo One hereby grants you permission to access and use the Platform as set forth in these Terms of Use, provided that:
You agree not to distribute in any medium any part of the Platform or the content without Hubo One's prior written authorization.
You agree not to alter or modify any part of the Platform;
You agree not to access content through any technology or means other than the intended interfaces provided by the Platform; and
You agree not to use the Platform for any of the following commercial uses unless you obtain Hubo One's prior written approval:
The sale of access to the Platform;
The sale of advertising, sponsorships, or promotions placed on or within the Platform or content; or
The sale of advertising, sponsorships, or promotions on any page or website that provide a similar Platform as that of Hubo One.
You agree to receive installs and updates from time to time from Hubo One. These updates are designed to improve, enhance and further develop the Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit Hubo One to deliver these to you) as part of your use of the Platform.
You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that access the Platform in a manner that sends more request messages to Hubo One's servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Hubo One reserves the right to revoke these exceptions either generally or in specific cases at any time with or without providing any notice in this regard. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform (e.g., comments, email) for any commercial solicitation purposes.
You may submit suggestions, ideas, comments, questions or other information as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam.
In your use of the Platform, you will at all times comply with all applicable laws and regulations.
Content Use
The following limitation and conditions shall apply to your use of the Platform content:
Content available on the Platform which shall include but not be limited to trademarks, service marks and logos ("Marks"), processes, images, software, graphics is owned by or licensed to Hubo One and subject to copyright and other intellectual property rights under the law.
The Platform and its content are provided to you on an AS-IS basis. You may access the Platform for your information and personal use solely as intended through the provided functionality and as permitted under these Terms of Use. You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any content for any other purposes without the prior written consent of Hubo One or the respective licensors. Hubo One and its licensors reserve all rights not expressly granted in and to the Platform and its content.
You agree not to circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any content or enforce limitations on use of the Platform.
Intellectual Property Right
The Platform, the processes, and their selection and arrangement, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork and computer code on the Platform is owned and controlled by Hubo One and the design, structure, selection, coordination, expression, look and feel and arrangement of such content mentioned herein-above is protected by copyright, patent and trademark laws and various other national and international intellectual property laws and regulations.
Unless otherwise indicated or anything contained to the contrary, or any proprietary material owned by a third-party and so expressly mentioned, Hubo owns all the intellectual property to and into the trademark "Hubo One" and the Platform.
The mark "Hubo One" and "www.hubo.one" is the sole property of Hubo. Reproduction in whole or in part of the same is strictly prohibited unless used with express written permission from Hubo One.
Hyperlinking to our Platform
The following organizations may link to our Platform, without prior written approval:
• Government agencies;
• Search engines;
• News organizations;
• Online directory distributors may link to our Platform in the same manner as they hyperlink to the Websites of other listed businesses; and
• System-wide accredited businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups, which may not hyperlink to our Platform.
These above-mentioned organizations may link to our home page, to publications or to other information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party's site. We may consider and approve other link requests from the following types of organizations:
• Commonly-known consumer and/or business information sources;
• Dot.com community sites;
• Online directory distributors;
• Internet portals; and
• Accounting and consulting firms.
We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavourably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates the absence of Hubo One, and (d) the link is in the context of general resource information. If you are one of the organizations listed above and are interested in linking to our website, you must inform us by sending an e-mail to hello@hubo.one. Please include your name, your organization name, contact information as well as the uniform resource locator (URL) of your site, a list of any URLs from which you intend to link to our Website, and a list of the URLs on our site to which you would like to link. We also request you to please wait for a period of 3 (three) weeks for a response. Approved organizations may hyperlink to our Platform as follows:
• By use of our corporate name; or
• By use of the uniform resource locator being linked to; or
• By use of any other description of our Platform being linked which makes sense within the context and format of content on the linking party's site.
No use of Hubo One's intellectual property or other artwork will be allowed for linking absent a trademark license agreement.
Electronic Communication
When you visit Platform or send an email to us, you are communicating with us electronically. By communicating with us, you consent to receive communication from us electronically. We will communicate with you by email or posting notices on the Platform. You agree that all agreements, notices, disclosures, disclaimers, offers and other communications that are provided to you electronically satisfy any legal requirement that such communication should be in writing.
Termination of Account
Hubo One hereby reserves the right to terminate a user's access to the Platform, if:
• The user is deemed to be a copyright infringer;
• The users' breach any terms of these Terms of Use;
• The user is found to be in violation of any applicable laws;
• Your use of the Platform disrupts our business operations or affects any other party/user; or
• You have behaved in a way, which objectively could be regarded as inappropriate or unlawful or illegal or which would bring any claims against Hubo One.
Hubo One reserves the right to decide whether content violates these Terms of Use for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or excessive length or any other parameter that Hubo One deems fit from time to time. Hubo One may at any time, without prior notice and in its sole discretion, remove such content and/or terminate a user's account for submitting such material in violation of these Terms of Use.
We may also suspend access to the Platforms or require you to change your password if we reasonably believe that the Platforms have been or are likely to be misused, and we will notify you accordingly. Any termination of your registration and/or account or the Platforms will not affect liability previously incurred by you.
Effects of Termination
In case any of the above-mentioned cases occur, Hubo One reserves the right, in its sole discretion, to terminate or suspend the user's account with immediate effect. Upon suspension or termination of the User's account:
• Hubo One shall at its sole discretion withhold or stop any and all payments that are to be made to such user (if any) and evaluate the pay-outs. Payments shall only be made for all legitimate work that is not the subject matter of any violation or dispute;
• Payments shall not be made for the work that is the subject matter of any of the breaches; • User access shall be terminated immediately, and the user shall not be able to access the said terminated account.
Copyright Infringement
Hubo One operates a clear copyright policy in relation to any content alleged to infringe the copyright of a third party.
As part of Hubo One's copyright policy, Hubo One will terminate user access to the Platform if a user has been determined to be a repeat infringer. A repeat infringer is a user who has been notified of infringing activity more than twice.
If you believe that your work has been copied in a way that constitutes copyright infringement, please make a claim of copyright infringement as per the provisions of the Indian Copyright Act, 1952, read with the Information Technology Act of 2000.
Our standard policy to deal with copyright infringements is as follows: We follow a 3 (three) strike policy. Three instances brought to our notice that is provided with all required supporting information will lead to the user getting banned from the Platform. His/her right to any and all compensation or monetary benefit that he/she might be eligible for shall be revoked. The detailed process is as under:
• The first case of violation - The infringing content will be taken down and the user is given a warning and is suspended for a week from accessing the Platform.
• The second case of violation - The user will be suspended from using the Platform for a month and all content that amounts to copyright violations are brought down immediately. • Third violation - The user will be banned from the Platform and will be unable to access the Platform in the future.
Confidentiality
You will not without obtaining the prior written consent of Hubo One, disclose to a third party any Confidential Information (as defined below) that is disclosed to you during the term of your use of the Platform.
For the purpose of this clause, Confidential Information shall include but shall not be limited to employee details, user list, business model, processes, ideas, concepts etc. relating to Hubo One or the Platform, which are not available in the public domain. You acknowledge and agree that all Confidential Information so provided to you shall at all times be the property of Hubo One and any breach of the same shall cause irreparable damage to us.
Disclaimer
YOU AGREE THAT YOUR USE OF THE PLATFORM SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, HUBO ONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF. TO THE FULLEST EXTENT PERMITTED BY LAW, HUBO ONE HEREBY EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT OR THE CONTENT OF ANY SITES SO LINKED AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT ON THE PLATFORM, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT THAT IS POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM. HUBO ONE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY CONTENT OR PLATFORM ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND HUBO ONE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF CONTENT OR SERVICES. AS WITH THE PURCHASE OF A SUBSCRIPTION OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUBO ONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AVAILABLE AT THE PLATFORM, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PLATFORMS, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORMS BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HUBO ONE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU SPECIFICALLY ACKNOWLEDGE THAT HUBO ONE SHALL NOT BE LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
THE PLATFORM IS CONTROLLED AND OFFERED BY HUBO ONE FROM ITS FACILITIES IN INDIA. HUBO ONE MAKES NO REPRESENTATIONS THAT THE PLATFORM IS APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS OR JURISDICTIONS APART FROM INDIA. THOSE WHO ACCESS OR USE THE PLATFORM FROM OTHER JURISDICTIONS DO SO OF THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH ALL LOCAL APPLICABLE LAWS.
Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Hubo One, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from (i) your use of and access to the Platform; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that your actions caused damage to a third party; or (v) violation of any applicable laws. This defence and indemnification obligation will survive the termination of these Terms of Use and your use of the Platform.
Eligibility to Use and Acceptance of the Terms and Conditions
You affirm that you are either more than 18 (eighteen) years of age, or and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.
Hubo One reserves the right to refuse access to use the Platforms to any users or to suspend and/or terminate access granted to existing registered users at any time without according any reason for doing so.
Please note that Hubo One may, in the future, introduce specialized services or features designed for users under 18 years of age. In such event, we will update this Privacy Policy accordingly and implement additional safeguards appropriate for younger users in compliance with applicable laws and regulations. Any such services will require parental consent and will feature enhanced privacy protections specifically designed for minor users.
We provide these Terms of Use with our Platform so that you know what terms apply to your use. You acknowledge that we have given you a reasonable opportunity to review these Terms of Use and that you have agreed to them. You agree and acknowledge that your use of the Platform is subject to the most current version of the Terms of Use made available on the Platform at the time of such use.
Force Majeure
Hubo One, shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond it's control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, pandemic, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.
Information Technology Act
These Terms of Use are published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 and the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 that require publishing the rules and regulations, privacy policy and terms and conditions for access or usage of the Platform.
You are advised not to post any information or messages that are, or that may be construed, as being malicious, defamatory, inappropriate, slanderous, pornographic or otherwise sexually oriented or that makes attacks on or the otherwise opines or comments on any individuals or groups of individuals or any other entities whatsoever (whether companies, firms, or any other institutions). You also agree not to post any information to which you do not have copyrights or other appropriate permissions to post in a public forum. Your failure to comply with these terms may result in the removal of your postings without prior notice to the User. The IP address of all posts is recorded to aid in enforcing these conditions.
Governing Law and Jurisdiction
The Terms of Use are governed by and constructed in accordance with the laws of India, without reference to conflict of laws principles and you irrevocably and unconditionally submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
Modification, Amendment or Termination
Hubo One may, in its sole discretion, modify or revise these Terms of Use and policies at any time, and you agree to be bound by such modifications or revisions. Your continued use of the Platform post any modification of the Terms of Use shall be taken as your consent and acceptance to such modifications. Nothing in these Terms of Use shall be deemed to confer any third-party rights or benefits.
Severability and Miscellaneous
If any provision of this Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The failure of either Party to act in the event of a breach of this Terms of Use by the other shall not be deemed a waiver of such breach or a waiver of future breaches, unless such waiver shall be in writing and signed by the Party against whom enforcement is sought.
No licensed medical professional/patient relationship is created by using information provided by or through the use of the Platform including, but not limited to, links to other sites or any assistance we may provide to help you find an appropriate physicians, hospitals, diagnostic labs or any other healthcare providers or specialist in any field conducting test.
Hubo One does not make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, expertise, quality of work or other information. Further we do not in any way endorse any individual described. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information.
Hubo One do not represent or warrant that the content or information provided or made available via our Services is accurate, complete or current, or that our Services will be uninterrupted or error free, or that any defects in our Services will be corrected or that our Services or the server that makes our Services available are free of viruses or any other harmful components. Hubo One does not make any warrantees or representations regarding the use of the materials in our Services in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise, in each case to the fullest extent permitted by applicable law. Information published or made available via our Services may refer to products, programs or services that are not available in your region. User understands and acknowledges that your sole and exclusive remedy with respect to any defect in or dissatisfaction with our services is to cease use of our Services. We reserve the right to suspend or withdraw the whole or any part of our Services at any time without notice and without incurring any liability.
Hubo One has the right to discontinue the provision of any Services or deny access to anyone who violates our Terms of Use stated herein, without prior notice or warning.
Entire Agreement
These Terms of Use, together with the Privacy Policy, the terms of the Plans, and any other consents/disclaimers on the Platform, represent the complete agreement between User and Hubo One concerning the subject matter hereof, and it replaces all prior oral or written communications (if any) concerning such subject matter.
User availing of the Service and details provided therein shall stand deemed confirmed unless a change is updated to Hubo One. Acceptance of our Service is deemed acceptance of our Terms of Use. Please review our Terms of Use available at www.hubo.one
Any rights not expressly granted herein by Hubo One are reserved by Hubo One.
The use of this Platform is subject to the following terms and conditions:
In case of non-compliance with any applicable laws, rules or regulations, or the Terms of Use by a User, Hubo One has the right to immediately terminate the access or usage rights of the User to the Services and to remove non-compliant information.
